EQV Terms and Conditions of Sale

Definitions

1   The following expressions in these conditions shall mean respectively:-
    “EQV” - EQV (UK) Limited
    “Services” - Services contracted for and/or supplied by EQV from time to time
    “The Customer” - The person, firm or company to whom EQV has contracted to supply the Services

General

2   The following terms are the Company’s standard terms and conditions of sale. The Company contracts for the supply of the Services only on these terms to the exclusion of any other terms. If there is any inconsistency between these terms and the quotation, the quotation shall prevail.

Quotation and Orders

3   EQV will provide the Services set out in the quotation and shall be responsible to ensure that the Services provided are of satisfactory quality and in accordance with the terms of the Contract.
     
4   All prices exclude VAT which shall be payable in addition. Payment of the fee by the due date by the Customer under the Contract shall be of the essence. If the Customer is late in making payment, EQV reserves the right to stop performance under any contract and performance will only recommence upon payment in full by the Customer of all outstanding monies due. If EQV exercises such rights, further services will be paid for by the Customer in advance. EQV shall not be liable for loss of any nature suffered by the customer as a result of the application of this clause nor shall it be a reason for the cancellations by the customer of the contract.

Prices

5   EQV reserves the right to amend the price of a contract between the date of acceptable of an order and final delivery of Services if EQV considers such a course is necessary due to any factor beyond its control including, without limitation, any change in instructions or any failure of the Customer to give EQV adequate information or instructions.
     
6   Time shall not be of the essence re supply of the Services. If EQV is for any reason whatsoever not able to supply the Services within the time specified EQV shall use all reasonable endeavours to supply the Services as soon as practical thereafter but shall not be liable for any loss or damage whatsoever sustained by the Purchaser.
     
7   Where the Customer is in EQV’s reasonable opinion insolvent: is overdue with any payment owed to EQV; or makes default in or commits any breach of its other obligations to EQV hereunder EQV reserves the right to stop performance under any contract. Performance by EQV will only recommence upon payment in full by the customer of all outstanding amounts due. EQV shall not be liable for loss of any nature suffered by the customer as a result of the application of this condition nor shall it be a reason for the cancellation by the customer of the contract.
     
8   EQV may change interest on any overdue payments at the rate set out tin the Late Payment of Commercial Debts (Interest) Act 1998.

Cancellation

9   Where the customer cancels or postpones a course then the following charges will apply. More than 20 working days written notice 20% of course costs, 11 – 20 working days then 50% of course cost and if 10 working days or less then full course costs will apply.
     
10   EQV reserves the right to cancel courses, in which case the customer will be offered another mutually convenient date, or the refund of their course in full, although EQV will not be liable for any loss or expense to the customer arising out of such cancellations.
     
11   EQV reserves the right to alter published programmes and Trainers.
     
12   For scheduled courses EQV reserves the right to move a course if it is not populated by more than 2 delegates.

Force Majeure

13   EQV shall be relieved of its obligations under any contract to the extent that fulfilment of such obligations is prevented, frustrated or impeded as a consequence wholly or partially by any cause beyond EQV’s control.

Access

14   Where the Customer needs to make available any equipment or access or any facilities, EQV shall have no responsibility for any failure to comply or delay in complying for which EQV is not responsible.

Indemnity

15   The Customer shall forthwith indemnify EQV on a full indemnity basis against all or any liability cost or expense of whatsoever nature incurred by EQV due to an alleged or actual infringement of any intellectual property right or otherwise arising out of any instructions provided by the customer to EQV.
     
16   All intellectual property rights in and to any training and other materials provided by EQV to the customer shall unless otherwise agreed belong to EQV.

Waiver

17   Any waiver, forbearance or failure by EQV in insisting upon the performance of these conditions shall not be construed as a waiver of such condition.

No Set Off

18   Any payment to be made by the Customer to EQV shall be made in full without any set off or deductions there from or any counterclaim or claim to a lien there over howsoever.

Restriction

19   The Customer undertakes for a period of 12 months from termination of this Contract, not to engage any person, firm or company providing Services of a nature similar to those provided by EQV pursuant to this contract where such person, firm or company is connected or associated with any employee of EQV personally involved in the provision of the Services to the Customer hereunder.

Law of Contract

20   These conditions and any contract hereunder shall be governed by and construed under English law.
